Terms of Service

1. Acceptance of Terms

By accessing or using the PaidKwick portal, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the portal. These Terms apply to all users, including companies subscribing to the service and their customers.

2. Description of Service

PaidKwick provides a web-based portal that enables companies to collect and manage payments via integrations with QuickBooks Online and Stripe. The platform facilitates invoice viewing, payment processing, and access to transaction history.

3. Eligibility

You must be at least 18 years old to use this service. By using the portal, you represent and warrant that you meet this requirement and have the legal authority to enter into this agreement.

4. Account Registration

Businesses must subscribe and authenticate via QuickBooks Online to create an account. Customers access the platform through secure links and OTP verification. Users are responsible for maintaining the confidentiality of their account credentials.

5. Subscription and Billing

Businesses must select a subscription tier (Basic, Pro, Enterprise). All billing is managed through Stripe. Subscriptions automatically renew unless canceled. All fees are non-refundable, including in the event of suspension or termination of services, unless expressly stated otherwise in writing by PaidKwick.

6. Payment Processing

PaidKwick acts as a technology intermediary. All payments are processed via Stripe. PaidKwick does not store full payment details. Users must comply with the respective terms of Stripe and QuickBooks Online.

8. Intellectual Property

All intellectual property rights in the platform and its components belong to PaidKwick or its licensors. Nothing in these Terms grants you any right to use any of PaidKwick’s trade names, logos, or trademarks.

9. Service Changes

PaidKwick may modify, suspend, or discontinue the platform or any part of it at any time, with or without notice. PaidKwick is not liable for any modification, price change, suspension, or discontinuance of the service.

10. Termination and Suspension

PaidKwick reserves the right to suspend or terminate your access to the platform at any time, with or without cause, and without notice. This includes situations where PaidKwick believes your use may harm the platform, its users, or its business interests.

11. Data Retention

PaidKwick has no obligation to retain or provide access to any data after account termination or expiration, unless legally required. You are solely responsible for exporting your data before termination.

12. Beta Features Disclaimer

From time to time, PaidKwick may offer beta or experimental features. These are provided 'as is' without any warranties and may be changed or discontinued at PaidKwick’s discretion.

13. Data Use and Analytics

PaidKwick may collect and use anonymized, aggregated usage data for purposes such as service optimization, benchmarking, and analytics.

14. Export Compliance

You agree to comply with all applicable U.S. export laws and regulations. You represent that you are not located in a jurisdiction subject to U.S. sanctions or embargoes.

15. Disclaimer of Warranties

The service is provided "AS IS" without warranties of any kind. PaidKwick disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of Liability

To the maximum extent permitted by law, PaidKwick shall not be liable for any indirect, incidental, or consequential damages. PaidKwick’s total cumulative liability arising from or related to this agreement shall not exceed the lesser of: (i) the total amount paid by you to PaidKwick in the preceding six (6) months, or (ii) one hundred dollars ($100).

17. Indemnification

You agree to indemnify and hold harmless PaidKwick and its affiliates from any claims, losses, or damages resulting from your use of the platform or violation of these Terms.

18. Arbitration and Class Action Waiver

You agree that any dispute arising from these Terms will be resolved through binding arbitration in New York County, New York. You waive any right to participate in a class action or class-wide arbitration.

19. Governing Law

These Terms are governed by the laws of the State of New York. Any legal actions shall be brought exclusively in the courts located in New York County, New York.

20. Modifications

PaidKwick reserves the right to update these Terms at any time. We will provide notice of significant changes. Continued use of the platform after changes constitutes acceptance.
